1. Company information
dFlowIQ Labs is a trading name of Cognizance Software Limited, a company registered in England and Wales with company number 10028254. Its registered office is 320 Firecrest Court, Centre Park, Warrington, England, WA1 1RG. In these terms, "dFlowIQ Labs", "we", "us" and "our" mean Cognizance Software Limited.
2. Agreement and scope
These terms apply when you access this website, download, install or use dFlow~IQ (the Service). By doing so, you agree to them on your own behalf or, if you use the Service for an organisation, on behalf of that organisation. If you do not agree, do not use the Service.
3. Community Edition licence
Subject to these terms, dFlowIQ Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the no-fee Community Edition of the app for personal, educational and internal business purposes. Internal business use means use by you or your authorised personnel for your own organisation's operations, not use to provide the app itself as a service to third parties.
The Community Edition is proprietary software. Providing it without a charge does not grant ownership or make it open source. You may not copy, modify, redistribute, publish, rent, lease, sell, sublicense, make available as a hosted or managed service, remove proprietary notices, reverse engineer or circumvent technical restrictions, except where applicable law expressly permits it.
This licence does not grant any right to commercial editions, paid features, support, professional services, managed services or other offerings that we may make available. Those offerings may require separate terms and fees. You are responsible for ensuring that your device, operating system, network and use of the Service meet the applicable documentation and legal requirements.
4. Your data, systems and permissions
The app is a tool for connecting to systems that you configure. You must have authority to access every Kafka cluster, Schema Registry, AI provider, account, topic, message, schema and other resource you use. You remain responsible for your credentials, connection settings, content, backups, retention choices and all actions performed through your accounts or systems.
Do not enter secrets, personal data, production messages or regulated data into a third-party AI provider unless you have assessed and approved that disclosure. See the privacy notice and safety and acceptable use notice.
5. Intellectual property and feedback
dFlowIQ Labs and its licensors retain all rights in the Service, website, branding, documentation and content, including copyright, trade mark and other intellectual-property rights. No ownership passes to you under these terms. dFlow~IQ and dFlowIQ Labs names, logos and trade dress may not be used without written permission except for accurate, fair reference to the Service.
If you provide feedback, you grant dFlowIQ Labs a worldwide, perpetual, irrevocable, royalty-free licence to use it without restriction or compensation. You must not submit feedback that you do not have the right to share.
6. Third-party services and materials
The Service may interoperate with third-party services, including Apache Kafka, Schema Registry and AI providers. Those services are independently operated and governed by their own terms, privacy notices, pricing and availability. dFlowIQ Labs is not responsible for third-party services, content or changes to them. Apache Kafka is a trademark of the Apache Software Foundation.
7. Availability, changes and support
We may update, suspend or withdraw any part of the Service to protect users, comply with law, address security issues or improve the product. We do not promise uninterrupted availability, compatibility with every environment, preservation of data or that the Service will identify every defect or security risk.
Updates and future releases may be offered under updated or separate terms. You are not required to install an update, but continued use of an updated version is subject to the terms presented with that version where permitted by law.
8. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement, accuracy, security or uninterrupted operation. It is not legal, compliance, security, financial, medical or safety advice.
To the fullest extent permitted by law, dFlowIQ Labs will not be liable for indirect, incidental, special, consequential, punitive or exemplary loss, or for loss of data, profit, revenue, goodwill, business or opportunity arising from the Service. Nothing in these terms excludes liability that cannot lawfully be excluded or limited.
9. Suspension and termination
We may suspend or end access to downloads, updates, support or other Service components if reasonably necessary to prevent harm, investigate misuse, protect security or comply with law. On termination, the licence ends and you must stop using the affected proprietary app components, except where mandatory law or a separate licence provides otherwise.
10. Changes and contact
We may update these terms by posting a revised version here. Continued use after the effective date means you accept the updated terms where permitted by law. Questions, rights requests, copyright concerns and notices may be sent to dflowiq.labs@cognizance-io.com.
